Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and HYKLA Technologies ("HYKLA", "we", "us"). By accessing or using the HYKLA platform, APIs, dashboards, mobile apps, or any related service (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy.

If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

HYKLA provides a self-updating Enterprise Knowledge OS that connects people, processes, and systems into a living operational model. Features may include Genome (process & KPI modelling), LiveOps (event streaming), Discover (data-source integration), AI COO (conversational operations assistant), and dashboards.

We continuously improve the Service. We may add, modify, or discontinue features at our discretion, but we will not materially reduce the core functionality of a paid plan during your active subscription term without notice.

To use the Service you must (a) be at least 18 years old, (b) provide accurate registration information, and (c) keep your credentials confidential. You are responsible for all activity that occurs under your account.

Notify us immediately at security@hykla.ai if you suspect unauthorized access. We may suspend accounts that pose a security risk to the Service or to other customers.

Paid plans are billed in advance on a monthly or annual cycle. Fees are non-refundable except where required by law. We may revise pricing with at least 30 days' notice before the start of your next renewal term.

You are responsible for all applicable taxes, levies, and duties associated with your subscription, excluding taxes based on HYKLA's net income.

A free trial, when offered, automatically converts to a paid plan at the end of the trial period unless cancelled.

You retain all rights to the data, documents, and content you submit to the Service ("Customer Data"). You grant HYKLA a limited, worldwide license to host, process, transmit, and display Customer Data solely to operate, secure, and improve the Service for you.

We may generate aggregated, de-identified analytics from Service usage. Such aggregated data does not identify you or your organization and may be used to improve the Service.

Our handling of personal data is described in our Privacy Policy.

You agree not to:

• use the Service to violate any law or third-party right;
• upload malware, infringing content, or unlawful material;
• reverse-engineer, scrape, or attempt to extract source code, except to the extent expressly permitted by law;
• interfere with the integrity, performance, or rate limits of the Service;
• use the Service to build a competing product or to train a competing AI model;
• misuse AI-generated outputs in a way that misleads, harms, or discriminates against any individual or group.

The Service, including all software, models, prompts, designs, logos, and documentation, is the exclusive property of HYKLA and its licensors. We grant you a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms and your subscription plan.

Feedback you provide to us about the Service may be used by HYKLA without obligation or compensation, while you retain any underlying rights you may have.

HYKLA includes generative AI features (such as the AI COO). AI outputs may be inaccurate, incomplete, or out of date. You are responsible for reviewing AI outputs before relying on them for material business, legal, financial, medical, or compliance decisions.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill.

Each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees you paid to HYKLA for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

These Terms remain in effect while you use the Service. Either party may terminate for material breach if the breach is not cured within 30 days of written notice. We may suspend the Service immediately for security incidents, non-payment, or violations of Section 6 (Acceptable Use).

Upon termination, your right to use the Service ends. We will make Customer Data available for export for at least 30 days, after which we may delete it in accordance with our retention policies.

These Terms are governed by the laws applicable at HYKLA's principal place of business, without regard to conflicts of law rules. The parties will first attempt to resolve disputes informally. Unresolved disputes will be submitted to binding arbitration or to the competent courts of HYKLA's jurisdiction, at HYKLA's option, except where local consumer law requires otherwise.

We may update these Terms from time to time. Material changes will be announced via the Service or by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
